Terms of Service

These Terms of Service ("Terms") govern your access to and use of Vennbi, a global B2B collaboration marketplace where verified businesses find and launch collaborations. Vennbi is operated by Fidabl, an independent studio based in Seoul, Republic of Korea (business registration number 407-74-00575). In these Terms, "Vennbi", "we", "us" and "our" refer to Fidabl. Please read these Terms carefully.

1. Acceptance of these Terms

By creating an account, accessing, or using Vennbi in any way, you agree to be bound by these Terms and by our Privacy Policy and Verification Policy, which are incorporated here by reference. If you do not agree, you must not use the service. If you use Vennbi on behalf of a company, you accept these Terms for that company.

2. Eligibility

Vennbi is a service for businesses, not for personal or consumer use. To use Vennbi you confirm that:

You represent a legitimate, registered business or organisation.
You are at least 18 years old.
You are authorised to represent and bind the company you register.
The information you provide about yourself and your business is true and accurate.

We may refuse, suspend, or terminate access if we believe any of these conditions is not met.

3. Accounts and verification

You must create an account to use most features. Access to collaboration features requires business verification. You agree to submit accurate registration details and documents when asked, and you understand that verification is a condition of full access. You are responsible for keeping your login credentials secure and for all activity that happens under your account. Notify us promptly at hello@fidabl.com if you suspect unauthorised use.

4. Acceptable use

When using Vennbi, you agree not to:

Send spam, unsolicited bulk messages, or repetitive low-quality outreach.
Misrepresent your identity, your business, your role, or your intentions.
Propose or pursue any illegal collaboration or any activity that would breach applicable law.
Post false, misleading, deceptive, or fraudulent content.
Harass, threaten, or harm other members, or infringe their rights.
Scrape, copy, or harvest data from the platform, or attempt to bypass security or verification.

We may investigate suspected violations and take any action we consider appropriate, including removing content and suspending accounts.

5. Listings and approval

You may create listings describing your business and the collaborations you are looking for. All listings are subject to review. Vennbi manually reviews listings and may reject, edit, or remove any listing at its sole discretion, with or without notice, if we consider it inaccurate, low quality, unsafe, or otherwise inconsistent with these Terms. Approval of a listing does not mean we endorse the member or guarantee any outcome.

6. Collaborations are between members

Vennbi is a platform that helps businesses discover and connect with each other. Any collaboration, partnership, agreement, or transaction you enter into is solely between you and the other member. Vennbi is not a party to those arrangements, does not supervise them, and is not responsible for the conduct, performance, or deliverables of any member. You are responsible for your own due diligence and for any contracts you sign with other members.

7. Fees and the Growth subscription

Core access to Vennbi may be offered free of charge. We also offer a paid Growth subscription with additional features. If you subscribe:

You authorise us and our payment processor to charge your chosen payment method on a recurring basis until you cancel.
Subscriptions renew automatically for the same period unless cancelled before the renewal date.
You can cancel at any time; cancellation takes effect at the end of the current billing period, and, except where required by law, fees already paid are non-refundable.
Prices, plans, and included features are examples only and are subject to change. We will give reasonable notice of material changes.

8. Intellectual property

Vennbi, including its software, design, branding, and content we create, is owned by Fidabl and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the service for its intended business purpose. You keep ownership of the content you submit, but you grant us a worldwide, royalty-free licence to host, display, and use that content as needed to operate and promote the service. You must not copy, modify, or create derivative works from our platform without permission.

9. Disclaimers and limitation of liability

Vennbi is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure, or that verification guarantees the trustworthiness of any member. To the maximum extent permitted by law, Fidabl will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising from your use of Vennbi. Where liability cannot be excluded, our total liability is limited to the amount you paid us in the twelve months before the event giving rise to the claim.

10. Termination

You may stop using Vennbi and close your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if we are required to by law, or if we discontinue the service. On termination, your right to use Vennbi ends immediately. Sections that by their nature should survive termination, including intellectual property, disclaimers, and limitation of liability, will continue to apply.

11. Governing law and disputes

These Terms are governed by the laws of the Republic of Korea, without regard to conflict of law rules. Any dispute arising out of or relating to these Terms or the service will be subject to the exclusive jurisdiction of the courts of Seoul, Republic of Korea, unless mandatory local law provides otherwise.

12. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Your continued use of Vennbi after changes take effect means you accept the revised Terms.
